1. Service Description

AffiDock is a SaaS platform designed to help affiliate marketers manage multiple advertising accounts across various platforms. The service includes:

• Account Management: Organize and monitor advertising accounts from multiple platforms in a unified dashboard
• Performance Tracking: View campaign metrics, spend data, revenue, and ROAS across all connected accounts
• Import/Export: Bulk import account data via CSV or manual entry, and export data for external analysis
• Workflow Management: Track account statuses, policy violations, action reminders, and team notes
• Team Collaboration: Invite team members with role-based access controls

We reserve the right to modify, suspend, or discontinue any feature or aspect of the service at any time, with or without notice.

2. Account Registration and Eligibility

Eligibility Requirements

• You must be at least 18 years old to use AffiDock
• You must provide accurate and complete registration information
• You must have legal authority to bind any organization you represent
• You must not be prohibited from using the service under applicable laws

Account Responsibilities

• Account Security: You are responsible for maintaining the confidentiality of your password and account credentials
• Accurate Information: Keep your account information current and accurate
• Unauthorized Access: Notify us immediately at legal@shock-experts.com if you suspect unauthorized account access
• Account Activity: You are responsible for all activities that occur under your account
• One Account Per User: Each user must maintain only one account unless explicitly authorized by us

3. Acceptable Use Policy

You agree NOT to use AffiDock to:

• Illegal Activities: Engage in any illegal activity or promote illegal products or services
• Fraudulent Activity: Submit false or misleading data, create fake accounts, or manipulate metrics
• Platform Abuse: Attempt to access unauthorized areas, reverse engineer the service, or interfere with system integrity
• Excessive Use: Abuse API rate limits, submit excessive requests, or use the service in ways that degrade performance for others
• Account Sharing: Share login credentials with unauthorized parties or resell access to the service
• Malicious Content: Upload files containing viruses, malware, or other harmful code
• Harassment: Harass, abuse, or harm other users or our team members
• Third-Party Terms: Violate the terms of service of advertising platforms whose accounts you manage through AffiDock

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

4. Subscription Plans and Billing

Subscription Terms

• Paid Plans: AffiDock offers various subscription plans with different feature sets and account limits
• Billing Cycles: Subscriptions are billed monthly or annually based on your selected plan
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Price Changes: We may change subscription prices with 30 days' notice; existing subscriptions maintain their current price until renewal
• Currency: All prices are in GBP, USD, or EUR depending on your location

Payment and Taxes

• Payment is processed securely through Stripe, our PCI DSS-compliant payment provider
• You authorize us to charge your payment method for all fees when due
• You are responsible for all applicable taxes, including VAT where applicable
• Failed payments may result in service suspension after reasonable notice

Refund Policy

• 60-Day Trial: New users may request a full refund within 60 days of initial purchase
• Annual Plans: Annual subscriptions are eligible for a pro-rata refund if cancelled within 60 days
• Monthly Plans: Monthly subscriptions are non-refundable, but you may cancel at any time to prevent future charges
• Service Credits: In cases of extended service outages, we may provide service credits at our discretion

5. Intellectual Property Rights

Our Intellectual Property

AffiDock, including its software, design, features, content, and branding, is owned by Shock Experts LLP and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, distribute, or create derivative works of our software or content
• Reverse engineer, decompile, or attempt to extract source code
• Remove or alter any copyright, trademark, or proprietary notices
• Use our branding, logos, or trademarks without written permission

Your Content and Data

• Ownership: You retain all ownership rights to data you upload or import into AffiDock
• License Grant: You grant us a limited license to store, process, and display your data solely for the purpose of providing the service
• Data Accuracy: You represent that you have the legal right to import and store all data you provide
• Account Credentials: You are responsible for ensuring you have authorization to provide advertising platform credentials to AffiDock

Feedback and Suggestions

If you provide feedback, suggestions, or ideas about AffiDock, we may use them without obligation or compensation to you. We are not required to implement any suggestions or keep them confidential.

6. Service Availability and Disclaimers

Service Availability

• We strive to provide 99.9% uptime but cannot guarantee uninterrupted or error-free service
• Scheduled maintenance will be announced in advance when possible; emergency maintenance may occur without notice
• Third-party integrations (advertising platforms) may experience outages beyond our control

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• Data Accuracy: We do not guarantee the accuracy, completeness, or reliability of data imported from advertising platforms
• Third-Party Platforms: We are not responsible for changes, outages, or policy violations on third-party advertising platforms
• Business Decisions: AffiDock is a tool for data management; you are solely responsible for business decisions made using the service
• Account Bans: We are not liable if advertising platforms ban or suspend accounts you manage, regardless of whether they are tracked in AffiDock

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOCK EXPERTS LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or account access
• Account suspensions or bans on third-party platforms
• Business interruptions or downtime
• Cost of substitute services or procurement

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF AFFIDOCK SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you in full. In such cases, our liability will be limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Shock Experts LLP, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms of Service
• Your violation of any laws or regulations
• Your violation of third-party rights, including intellectual property rights
• Data you import, store, or export through AffiDock
• Unauthorized use of your account by others due to your negligence

9. Account Termination

Termination by You

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period; no pro-rata refunds for monthly plans
• You may request full account deletion, which permanently removes all data within 30 days
• Exported data and backups may be retained for up to 90 days for disaster recovery

Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms of Service or our Acceptable Use Policy
• Your payment fails and remains unpaid after reasonable notice
• You engage in fraudulent or illegal activity
• We are required to do so by law or regulatory authority
• We decide to discontinue the service (with 90 days' notice and pro-rata refunds)

Effect of Termination

• Your right to access and use AffiDock immediately ceases
• Outstanding fees remain due and payable
• You must export any data you wish to retain before termination takes effect
• Provisions regarding intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination

10. Third-Party Services and Links

AffiDock integrates with third-party advertising platforms and may contain links to external websites. We are not responsible for:

• The availability, content, or practices of third-party services
• Changes to third-party platform APIs or terms of service
• Policy violations or account suspensions on third-party platforms
• Data accuracy or discrepancies in third-party data feeds

Your use of third-party services is governed by their respective terms of service and privacy policies. You are responsible for complying with all applicable third-party terms.

11. Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@shock-experts.com to attempt to resolve any dispute informally. We commit to working in good faith to resolve disputes.

Jurisdiction

Any disputes arising from these Terms or your use of AffiDock shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Class Action Waiver

To the extent permitted by law, you agree to bring claims against us only in your individual capacity and not as part of any class or representative action.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our service, legal requirements, or business practices. We will notify you of material changes by:

• Email notification to your registered email address
• Prominent notice when you log into AffiDock
• Updating the "Last updated" date at the top of this page

Your continued use of AffiDock after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the service and may cancel your account.

For material changes that negatively impact your rights, you will have 30 days to cancel and receive a pro-rata refund of any prepaid fees.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Data Protection page, constitute the entire agreement between you and Shock Experts LLP regarding AffiDock.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor in connection with a merger, acquisition, or sale of assets.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, or government actions.

Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Shock Experts LLP.

Language

These Terms are provided in English. Any translations are for convenience only; the English version prevails in case of discrepancies.
